Tata Motors’ Big Italy Move: ₹41,580 Crore Iveco Deal Gets Key Regulatory Approval

Tata Motors is moving closer to completing its proposed acquisition of Italy-based Iveco Group, marking a major step in the Indian automaker’s global commercial vehicle expansion. Italy’s market regulator, Consob, has approved the offer document submitted by TML CV Holdings B.V., the company involved in Tata Motors’ commercial vehicle business.

Tata Motors confirmed the development in a stock exchange filing on September 4, 2026. Consob granted its approval on September 3, marking one of the final major regulatory milestones for the proposed transaction.

The approval comes after the European Central Bank provided sector-related clearance on September 1. Tata Motors has also received other required approvals, including those from the UK Financial Conduct Authority, the Bank of Spain and India’s SEBI.

How Will Tata Motors Buy Iveco Shares?

Under the proposed transaction, TML CV will make an offer to acquire all outstanding shares of Iveco Group.

Iveco shareholders will be offered €14.10 per share, including dividends. The overall transaction is valued at approximately €3.8 billion, equivalent to around ₹41,580 crore.

With the regulatory process advancing, Iveco shareholders will now get the opportunity to participate in the tender offer.

The initial offer period is scheduled to begin on September 7, 2026, at 8:30 a.m. CET and is expected to remain open until October 26, 2026, at 5:30 p.m. CET. The offer period could be extended if required under the applicable conditions.

When Will Shareholders Receive Payment?

Settlement and payment for Iveco shares tendered during the initial offer period are expected to take place on October 30, 2026.

Subject to the required legal conditions, the offer could also be reopened for five business days between November 2 and November 6, 2026. If that happens, settlement could take place on November 13, 2026.

The tender offer will be made in Italy and will also be available to eligible US investors in accordance with applicable US securities regulations.

The acquisition could significantly strengthen Tata Motors’ commercial vehicle operations outside India.
